On May 6, 2026, Assembly Corp. (the “Company“) filed a Notice of Intention to Make a Proposal (“NOI”) under Section 50.4 of the Bankruptcy and Insolvency Act, R.S.C. 1985, c. B-3, as amended (the “BIA”), and GlassRatner Restructuring Inc. (“GlassRatner) was appointed as proposal trustee in the Companies’ NOI proceedings (in such capacity, the “Proposal Trustee”).
On June 4, 2026, by Order of the Honorable Justice Steele, pursuant to subsection 50.4(9) of the BIA, the time for filing a proposal with the Official Receiver in the NOI Proceedings, is extended up to and including July 20, 2026.
On June 4, 2026 by Order of the Honorable Justice Steele, pursuant to s.47.1(1) of the BIA, GlassRatner Restructuring Inc. is hereby appointed Interim Receiver, without security, in relation to all of the assets, undertakings and properties of the Debtor acquired for, or used in relation to a business carried on by the Debtor, including all proceeds thereof (the “Property“), until the earliest of:
(a) the taking of possession by a receiver, within the meaning of subsection 243(2) of the BIA, of the Property;
(b) the taking of possession by a trustee of the Property; and
(c) court approval of a proposal in the Proposal Proceeding
On July 20, 2026, by Order of the Honorable Justice Myers, pursuant to subsection 50.4(9) of the BIA, the time for filing a proposal with the Official Receiver in the NOI Proceedings, is extended up to and including August 11, 2026.
On July 20, 2026 the Honorable Justice Steele, pursuant to s.47.1(1) and s. 50.6 of the BIA, granted and amended and restatement of the Interim Receivership Order, which is provided in the ‘Documents’ section below for review.
By an Order of the Honourable Justice W. D. Black of the Ontario Superior Court of Justice (Commercial List), effective August 11, 2026 (the “Receivership Order”), GlassRatner was appointed as receiver and manager (in such capacities the “Receiver”), without security of all the assets, undertakings and properties of Assembly Corp (“Assembly”), Assembly Manufacturing Corp. (“Manufacturing”) and Assembly Real Estate Corp. (“Real Estate” and together with Assembly and Manufacturing, the “Debtors”) pursuant to section 243(1) of the BIA and section 101 of the Courts of Justice Act, R.S.O. 1990, c. C.43, as amended (the “CJA”).
By an Order of the Honourable Justice W.D. Black of the Ontario Superior Court of Justice (Commercial List), GlassRatner was also appointed as Lien Trustee in respect of the Debtors’ ongoing construction projects, with the powers, duties and protections outlined in the Order issued August 11, 2026 (the “Lien Registration Order”).
As Assembly failed to file a Proposal with the Proposal Trustee on or before the court-ordered extension deadline of August 11, 2026, the Company was deemed to have made an assignment in bankruptcy effective August 12, 2026. The Proposal Trustee was appointed as Trustee of the Estate of the Bankrupt (the “Trustee”) by the Official Receiver, subject to affirmation by the creditors of the Trustee’s appointment or substitution of another Trustee by the creditors.
