Pathfinder Energy Ltd. and MCK Energy Inc.

On October 7, 2025, by the Order of Justice Feasby (the “Receivership Order“) pursuant to section 243(1) of the Bankruptcy and Insolvency Act, RSC 1985, c. B-3 (the “BIA“), sections 13(2) of the Judicature Act, RSA 2000, c. J-2, 99(a) of the Business Corporations Act, RSA 2000, c. B-9, and 65(7) of the Personal Property Security Act, RSA 2000, c. P-7, B. Riley Farber Inc. operating as GlassRatner Restructuring Inc. (“GlassRatner“) was appointed as Receiver (the “Receiver“), without security, of all of Pathfinder Energy Ltd. and MCK Energy Inc.’s (collectively, the “Debtors“) current and future assets, undertakings and properties of every nature and kind whatsoever, and wherever situate, including all proceeds thereof (the “Property“). The Receivership Order was filed and became effective on October 15, 2025.

Status Update

GlassRatner Restructuring Inc., in its capacity as court-appointed receiver and manager (in such capacities, the “Receiver”) of the Pathfinder Energy Ltd. and MCK Energy Inc. (the “Companies”), is conducting a sale and investment solicitation process (“SISP”) to solicit interest in, and opportunities for, a sale of, or investment in, all or part of the Companies’ assets and business operations.

Upon the execution of a non-disclosure agreement, interested parties will be granted access to an electronic data room containing relevant information on the Companies’ assets, business operations and the SISP.

Phase 1 bids must be received on or before 5:00PM (Mountain Time) on March 20, 2026.

Phase 2 bids must be received on or before 5:00PM (Mountain Time) on April 30, 2026.
